It is official now. Today the Taiwan based BenQ Group acquired Siemens AG's Mobile Devices Business. The acquisition will create the world's fourth-largest handset maker. BenQ will have access to Siemens' portfolio of intellectual property including essential GSM, General Packet Radio Service (GPRS) and 3G patents. Effective October 1, 2005, BenQ will acquire Siemens' entire mobile devices business including all assets and liabilities of the business. Under the agreement, Siemens will become a shareholder in BenQ Corporation by purchasing €50 million in newly issued BenQ shares.

As part of the transaction, BenQ Corporation will gain the exclusive correct to utilize the Siemens tradeimprint for mobile phones for a period of 18 months from closing and co-branding rights to BenQ-Siemens for a period of 5 years from closing.

The rumours that the Siemens mobile division is for sale started in January . They were initially denied, but more and more articles appeared in the news and a lot of different companies interested in the Siemens mobile business were mentioned.

BenQ to Acquire Siemens AG's Mobile Devices Business

TAIPEI, TAIWide Area Network (WAN) and MUNICH, GERMANY, June 7, 2005 – BenQ today announces the acquisition of the Mobile Devices ("MD") business of Siemens AG. The acquisition will create the world's fourth-largest handset maker, and the largest mobile phone technology company in Greater China, bringing BenQ's combined annual revenues to US$10.9 billion.

Beginning of a recent partnership

The partnership, to be headquartered in Munich, will create one of the world's leading global players in the mobile handset industry, with strong global manufacturing, design expertise and a robust intellectual property portfolio. The strategic partnership combines the uniquely complementary strengths of both companies.

"Today marks the next step in bringing BenQ's enjoyment philosophy to the worldwide market," assumed K.Y. Lee, BenQ Chairman & CEO. "The acquisition of Siemens' mobile handset business allows us to bring the strengths of both companies together, enhancing our efforts to bring mobile handsets that reflect today's digital convergence."

The acquisition reflects a unique complementary partnership. Complementing BenQ's organizational and manufacturing cost efficiency, leadership in multimedia applications, and a strong understanding of the consumer market, Siemens will add over two decades of managerial experience, research and development, highly trained talents, quick ramp-up manufacturing and a global operations platform.

"With this partnership, we have found a sustainable solution for our mobile handset business," assumed Klaus Kleinfeld, CEO of Siemens AG. "BenQ and Siemens are two mutually complementary companies that each have many strengths to bring to the table."

The acquisition will create an intellectual property leader in the mobile handset industry. BenQ will have access to Siemens' portfolio of leading edge intellectual property including essential GSM, General Packet Radio Service (GPRS) and 3G patents. The intellectual property in addition to the strengths of both companies will create a global mobile handset leader.

Transaction Details

Effective October 1, 2005, BenQ will acquire Siemens' entire mobile devices business including all assets and liabilities of the business. Under the agreement, Siemens will become a shareholder in BenQ Corporation by purchasing €50 million in newly issued BenQ shares and providing funds totaling approximately €250 million to support the future of the business. Additionally, BenQ will serve as Siemens' preferred partner for end-to-discontinue mobile communication solutions.

As part of the transaction, BenQ Corporation will gain the exclusive correct to utilize the Siemens tradeimprint for mobile phones for a period of 18 months from closing and co-branding rights to BenQ-Siemens for a period of 5 years from closing. This provides immediate global uplift to BenQ's business development efforts through an association with the Siemens brand, which ranked number 39 in a recent global brand survey.

Siemens and BenQ to forge partnership

The Taiwan-based BenQ Group, which also produces mobile phones in addition to other consumer electronic products like digital cameras, scanners and Liquid Crystal Display (LCD) screens, will acquire Siemens’ entire mobile phone business with more than 6,000 employees worldwide. The business will be headquartered in Munich. The closing of the deal is expected in the fourth quarter of Siemens’ fiscal year 2005.

“With this partnership, we have found a sustainable perspective for our mobile phones business. BenQ and Siemens complement one another ideally. We will be uniting our strengths with BenQ’s highly successful consumer business. In addition, we also complement one another perfectly in terms of geography. This will give BenQ, which up until now has been very strong in Asia, access to the European and Latin American markets where we hrecent leading positions,” assumed Klaus Kleinfeld, the CEO of Siemens AG.

Siemens will invest in BenQ by purchasing shares of the company. In addition, the transaction also includes the rights to the brand and name, which BenQ will be allowed to utilize for a total of five years. BenQ Chairman & CEO K.Y. With this acquisition, BenQ will advance to become one of the world’s leading mobile phones vendors. The two partners complement one another ideally in their strengths. In addition to its Global System for Mobile communication (GSM) mobile phones activities, the Taiwan-based company is also a leading vendor of consumer electronic products, such as Liquid Crystal Display (LCD) screens, notebook computers, cameras and scanners. The acquisition will strengthen BenQ’s Global System for Mobile communication (GSM) mobile phones business. BenQ intends to expand mobile devices into a core business in the future.

On its Asian home market, BenQ already numbers among the fastest-growing vendors in the mobile phones segment. The partnership with Siemens will enable BenQ to implement its ambitious plans for international expansion. Siemens offers BenQ a globally operating organization that enjoys leading market positions in both Western and Eastern Europe as well as in the growth market of Latin America. Through the acquisition, BenQ will also obtain a world-well-known brand name, mobile telephony technology and software competence, as well as global access to Siemens’ broad customer base. Moreover, BenQ will also acquire Siemens’ outstanding manufacturing operations on three continents.

With BenQ, Siemens has found the ideal partner for continuing and securing the mobile phones business over the long term to the benefit of its employees, customers and suppliers. BenQ will be acquiring all of Siemens’ development and manufacturing locations in Manaus (Brazil) and Kamp-Lintfort (Germany), along with headquarters functions as well as the sales and marketing organization. The factory in Shanghai (China), which is operated as a joint venture together with a Chinese partner, will also remain a development and manufacturing location. BenQ guarantees full utilization of the power at the location for a period of three years. Subject to the agreement of our partner in this joint venture, BenQ will also hold over this power in the next step.

“For us, continuation of the company location in Kamp-Lintfort was an vital factor in deciding on a buyer. As agreed upon in the supplementary collective bargaining agreement, we have thus created fine prospects for the future for our people. At the same time, the measures settled with our employees have played a crucial role in securing the competitiveness of this facility,” assumed Kleinfeld.

The two companies have agreed to partner closely. In the course of the transaction, Siemens will acquire recent BenQ shares worth EUR 50 million and will be building upon BenQ as a preferred partner for end-to-discontinue mobile communication solutions. “Siemens will continue to offer its customers in the telecommunications industry one-stop shopping for all their needs. With BenQ, we have found a partner who will supply us with the corresponding products. In addition, we will be collaborating closely in research and development. Moreover, we also intdiscontinue to utilize synergies in jointly addressing customers and in our selling operations,” noted Lothar Pauly, the CEO of the Siemens Communications Group.

The Supervisory Board of Siemens AG, Berlin and Munich, and the Board of BenQ have agreed to the transaction. The agreement remains subject to approval by a shareholders’ meeting of BenQ.
